Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On March 20, 2017, TerraForm Power, Inc. (the “Company”) received a notification letter from a Hearings Advisor from the Nasdaq Office of General Counsel informing the Company that the Nasdaq Hearings Panel (the “Panel”) granted the Company an extension until June 30, 2017 to regain compliance with Nasdaq’s continued listing requirements with respect to its Form 10-K for the year ended December 31, 2016 (the “2016 10-K”), its Form 10-Q for the first quarter of 2017 (the “1Q17 10-Q”) and its delinquency in holding its annual meeting during the year ended December 31, 2016 (the “2016 Annual Meeting”). The Panel reserved the right to reconsider the terms of the extension and the Nasdaq Listing and Hearing Review Council may determine to review the Panel’s decision. The Company has not yet held the 2016 Annual Meeting, has not filed the 2016 10-K and does not expect to be able to file the 1Q17 10-Q by the Securities and Exchange Commission deadline of May 10, 2017.

On March 21, 2017, the Company issued a press release announcing the granting of the extension. A copy of the press release is furnished herewith as Exhibit 99.1.

TerraForm Power Announces Extension Until June 30, 2017 to Regain Nasdaq Compliance

BETHESDA, MD., March 21, 2017 - TerraForm Power, Inc. (Nasdaq: TERP) (“TerraForm Power” or the “Company”), an owner and operator of clean energy power plants, announced today that the Nasdaq Hearings Panel granted the Company an extension until June 30, 2017 to regain compliance with Nasdaq’s continued listing requirements with respect to its Form 10-K for the year ended December 31, 2016, its Form 10-Q for the first quarter of 2017 and its delinquency in holding its annual meeting during the year ended December 31, 2016.
